    The Role:

    Essential function:

    • The Assistant Company Secretary is accountable for ensuring that the company complies with financial and legal requirements, as well as maintaining its high standards of corporate governance.
    • Prepare agendas and papers for board meetings, committees and annual general meetings
    • (AGMs) and follow up on action points including pack loading
    • Take minutes, draft chairman notes, draft resolutions, and lodge required forms and annual returns
    • Ensure policies are kept up to date
    • Maintain statutory books, including registers of members, directors and secretaries
    • Deal with correspondence, collate information and write reports, communicate decisions to relevance company stakeholders
    • Monitor changes in relevant legislation and the regulatory environment
    • Liaise with external regulators and advisers, such as lawyers and auditors
    • Oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
    • Assist with the payment procedures of dividends
    • Assist with share option schemes, mergers and takeovers activities
    • Maintain the register of shareholders and monitor changes in share ownership of the company
    • Assist with the administration of the company's pension scheme
    • Enter into contractual agreements with suppliers and customers
    • Manage the office space, personnel administration, insurance for employees, equipment and premises
    • Engage with business and update integrated report documents
    • Engage with Secretariat and deliver strategic deliverables
    • Group reporting across the group and to regulatory stakeholders.
    Skills and Experience:

    Essential Qualification:

    • Matric /Grade 12
    • Legal undergraduate degree
    • ICSA certification, if candidate has less than 7 years experience in Cosec role in a JSE Top40 listed entity

    Experience required:

    • Minimum of 3 - 5 yearsâ?? experience in a listed environment is essential
    • Knowledge of King Code on Corporate Governance, JSE Listing Requirements and Companies Act of 2008 (as amended from time to time)
    • Business and Financial acumen
    • Strategic thinking/ holistic advisory competence
    • Legal and corporate governance knowledge and expertise
    • Legal and commercial risk management
    • Good verbal and written communication skills
    • Attention to detail and a well-organised approach to work
    • The capability to work with numerical information, plus analytical and problem-solving skills

    • Highest levels of Integrity and discretion required to handle confidential and sensitive information
    • Interpersonal skills and the ability to work well with people at all levels

    • Ability to influence to ensure that regulations are adhered to and compliance and governance are achieved.
    • Tact Discretion to work closely with the Board as 2IC to Group Company Secretary
    • A diplomatic approach and the confidence to provide support to high-profile company staff and board members
    • Ability to assess facts and provide clear process and structure on the way forward
    • Ability to manage self others
