Role Overview
As the Board Secretary, you will play a pivotal role in facilitating communication and governance between the Board, its committees, and the executive team. You will be the steward of governance documentation, ensure compliance with legal and ethical standards, and drive efficient board processes. This role is ideal for a seasoned professional who combines legal or business acumen with discretion, diplomacy, and exceptional organizational skills.
Key Responsibilities
Ensure the effective planning and coordination of Board and Committee meetings, including travel arrangements and logistics.
Collaborate with the Chairman, Board members, and Executive Management to develop and distribute agendas.
Compile, organize, and distribute Board packs in advance of meetings.
Accurately record and distribute minutes and resolutions of all Board and Committee meetings.
Maintain and safeguard official Board records, including resolutions and decisions.
Track and monitor Board action items and ensure timely follow-ups.
Serve as the custodian of governance documents and corporate compliance records.
Support the onboarding and orientation of new Board members.
Stay abreast of corporate governance legislation and industry best practices.
Champion ethics, integrity, and compliance across all governance matters.
Qualifications & Experience
Bachelor’s Degree in Law, Business Administration, or a related field (Postgraduate qualification is advantageous).
10+ years of progressive experience in a similar governance or company secretarial role.
Strong knowledge of corporate governance frameworks, board procedures, and regulatory compliance.
