SUMMARY:
Determine legal posture and interests and ensure that practices, policies, and dealings of the organisation meet regulatory requirements.

POSITION INFO:

Manage organisation''s defence, interpretation and preparation of legal documents and provide counsel to corporate management. Responsible for corporate affairs, risk/compliance, and corporate governance. Required to take a lead in the management of business resources and budget allocation. Drive the development and implementation of best practice legal strategies and frameworks. As a member of the Exco - contribute to business strategy and decision-making.

Client Details

The Chief Legal and Compliance Officer will form part of the ICT / Tech / IT industry sector. Our client is based in Centurion and their business is categorised as being a specialist provider of open-access fibre infrastructure and connectivity in South Africa.

Description

The Chief Legal and Compliance Officer is expected to perform on the following KPA''s:

Strategy and Execution
Translate legal strategies into actionable goals and execute relevant projects / initiatives aligned to strategic objectives with specific performance measures and control systems to track progress.
Lead complex legal projects that span legal, business, and functional boundaries (e.g., cross geographies, subject matter areas, jurisdictions, organizations, and business models).
Cultivate and manage objective working relationships with a variety of stakeholders, including external attorneys and Legal Services to ensure that the that the business can obtain expert opinion on specialist areas of Law.

Compliance and Governance
Design, implement and enforce the compliance strategy.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Develop and implement compliance related campaigns to create awareness of importance of compliance as well provide staff with knowledge and skills related to compliance.
Comply with governance in terms of legislative and audit requirements.
Identify and communicate current and anticipated legal issues or risks.
Oversee the review of ICASA compliance quarterly
Make submissions as per ICASA license requirement on behalf of the company

Compliance (Internal Codes and Policies)
Draft and review relevant company policies and codes considering legislation and make recommendations.
Review the companies'' compliance to internal codes and policies.
Identify areas of compliance risk and implement the appropriate policies, procedures, and awareness campaigns in collaboration with relevant stakeholders.
Ensure training on the code of ethics is provided by legal department.

Company Secretariat
Operate as the Company Secretary
Ensure that the company complies with legal requirements, as well as maintaining high standards of corporate governance.
Facilitate good communication between the board, committees, senior management, and other relevant stakeholders.
Accountable for the administration of the company.

Contracts (Draft, negotiate and/or vet complex contract)
Review contracts for legal risk prior to company signatures.
Peruse document/instruction from business and provide comments and guidance on risks, legal accuracy, applicability, etc.
Provide guidance on obligations explaining the meaning of provisions.
Assist with discussions/negotiation.
Liaise with external legal parties where relevant.

Enforce contractual rights and obligations
Measure results against signed off project plan/s.
Respond to breaches by investigating the facts around the matter with departmental heads.
Liaise with external legal parties where relevant.
Negotiate to settle the matter in the organisation''s favour.

Recoveries (Ensure proper recovery process)
Oversee the process of establishing damages/relocations of the network and outcome of investigations.
Oversee and manage the end-to-end process of recoveries and collections.
Execute all court documentation on behalf of the company.
Responsible for the final sign off, of settlement agreements acting in the company''s best interest.

Budget control
Set and manage the full departmental budget, ensuring costs remain within budget.

Capable and Engaged Team
Create a working environment that supports employee engagement and retention.
Ensures that there is an effective plan for attracting, retaining, motivating, and developing employees for the long-term success of the department.
Set meaningful performance targets in line with strategic objectives for all employees and clearly outline efforts and behaviours required to reach deliverables.
Facilitate the selection and development of high performing teams.
Facilitate the provision of ongoing support, coaching and mentorship to staff.
Embodies and drive adherence to company culture and values.

Profile

The Chief Legal and Compliance Officer is required to have the following:

  • LLB or equivalent legal qualification
  • Admitted Attorney of the High Court
  • Minimum 12 years relevant experience post admission
  • Strong drafting exposure and experience.
  • ICT experience in working with ICASA.
  • People management skills (vertical and horizontal)
  • Knowledge of Commercial Legal / Regulatory Compliance environment
  • MS Office
  • Knowledge of relevant legislation e.g. POPI Act, Companies Act, B-BBEE, Competition Act, Labour Legislation, EC Act, ICASA Act, CPA etc.
  • Business and Financial acumen

Job Offer

CTC on offer is between R1.8 mil - R2 mil depending on their preferred candidate''s experience.
