JOB SUMMARY:
A leading Fund Manager in Infrastructure Development is looking for a Company Secretary.

JOB DESCRIPTION:

Responsibilities are not limited to but will include:
Corporate Governance and Compliance:
  • To be accountable to the company’s board.
  • Act as trusted board advisor on all legislative, regulatory and governance requirements.
  • Lead the overall maintenance of corporate governance to ensure that the company remains compliant to the legislative framework and MOI in all respects.
  • Lead the safe custody of the company's MOI, incorporation documents and all agreements.
  • Assume the responsibilities of the Public Officer of the company under the Income Tax Act and other taxation legislation if so appointed.
  • Ensure certification of the company’s annual financial statements in conjunction with the relevant departments to ensure compliance to the applicable legislations.
  • Collaborate with relevant stakeholders on the annual financial statements and ensure their availability in terms of the Companies Act
  • Carry out the functions, where necessary, of a person who is responsible for the company’s compliance with the filing of the annual returns in terms of the Companies Act.
  • Ensure compliance with the listing’s requirements of any exchange on which the company’s shares are quoted.
  • Ensure all the related group governance structures are run effectively and efficiently to enable proper management of the Board and its Committees
Legal Counsel:
  • Provide legal services and advice to the company on relevant legal issues.
  • Ensure compliance with the internal controls, statutory regulations, regulatory and other relevant matters
  • Calculate and handle risks in business process and decision making.
  • Draft legal documents such as contracts, statements, agreements etc.
  • Develop and implement procedures for protecting patents, trademarks, and other innovations.
  • Handle litigations on behalf of the company.
  • Keep up with current changes on all relevant areas of laws and contribute to the enhancement of the knowledge base of the company’s legal function
  • Ensure proper management of the legal entities of the Company and Company documentation
Business Operations:
  • Lead development, implementation, and monitoring of transformation strategy.
  • Lead compliance to all transformation legislative framework and Codes.
  • Ensure audit and verification processes of Company's BBBEE contributions are conducted regularly aligned to the transformation strategy.
  • Support development and implementation of transformation action plans.
  • Lead execution of BBBEE transformation implementation plans and initiatives.
  • Lead all initiatives to improve BBBEE transformation scorecard.
  • Build strategic relationships with relevant transformation stakeholders.
  • Track Company's BBBEE contributions and ensure the integrity of data and documentation of elements.
  • Lead all relevant stakeholder engagements.
  • Participate and drive discussions with internal and external stakeholders about progress in implementing the company’s transformation journey.
  • Lead and drive information sessions to highlight major changes, challenges, strategies, and action plans.
  • Identify transformation risks and develop risk mitigation plans.
Stakeholder Management
  • Develop, maintain, and manage effective relationships with all relevant internal and external stakeholders.
  • Ensure the Board is kept up to date with all relevant amendments, international developments on corporate governance affecting the company and its related entities.
People Management:
  • Ensure effective management of all employees in the department.
  • Support and drive resourcing of the Investments department with competent individuals.
  • Ensure that performance management is embedded in the department to enable effective attraction, development, and retention of talent.
  • Drive the Transformation agenda of the business to ensure alignment with our target market.
Qualifications & Experience:
  • Minimum 7-year relevant experience.
  • In-depth company secretarial experience in a listed company.
  • Experience in developing processes to drive a compliance culture.
  • Experience in developing and driving business transformation strategies
  • A post graduate degree in law
  • Admission as an attorney
  • Chartered Governance Institute of Southern Africa (CGISA) Accreditation advantageous.
