SUMMARY:
Role Overview
The Company Secretary is responsible for ensuring that the Board of Directors and Executive Committee meet their legal, regulatory, and governance obligations in accordance with statutory frameworks such as the Companies Act, JSE Listings Requirements, and the King IV Code. This role also serves as a governance and compliance advisor, providing strategic input and oversight to the Board, its committees, and group subsidiaries.
In addition to regulatory compliance and secretarial duties, the role plays a key function in stakeholder engagement, corporate calendar management, and contributing to integrated reporting and sustainability governance.
 
Key Responsibilities
Governance Advisory

• Advise the Board and Executive teams on their responsibilities under King IV, JSE Listings Requirements, the Companies Act, and MOIs.
• Draft, implement, and review governance frameworks, charters, and work plans for the Board and its committees.
• Ensure adherence to board mandates, strategic alignment, and evolving governance standards.

• Ensure the business operates in compliance with relevant laws, regulations, and corporate governance codes (JSE, TRP, CIPC, King IV, etc.).
• Monitor and report on compliance risks, shareholder activism, and legal developments.
• Draft and coordinate SENS announcements and disclosures.

• Lead governance disclosures in the Integrated Report, Sustainability Report, and Annual Financial Statements.
• Prepare and submit King IV compliance reports.
• Oversee the governance component of ESG and B-BBEE reporting.

• Maintain statutory records, manage CIPC filings, and ensure timely TRP submissions.
• Manage annual compliance checklists and insurance renewals.
• Ensure accuracy of share registers and dividend compliance.

• Manage meeting packs, agendas, minutes, and attendance registers.
• Oversee proper archiving of resolutions, recordings, and governance documentation.
• Advise on agenda planning and regulatory priorities for Board and committee focus.

• Establish and manage stakeholder relationships including with sponsors, JSE, CIPC, TRP, and transfer secretaries.
• Manage shareholder communications and monitor shareholder movements.

• Maintain the company’s corporate governance calendar, ensuring statutory and strategic deadlines are met.
• Coordinate AGM proceedings and support earnings release logistics.

• Support lawful personal data processing compliance.
• Handle PAIA and POPIA information requests.
• Ensure compliance frameworks, impact assessments, internal policies, and awareness training are in place.

• Ensure audit recommendations are implemented and internal policies maintained.
• Monitor governance-related risks and ensure controls are enforced.

• Manage departmental structure, performance reviews, IR processes, and succession planning.
• Lead individual development plans and contribute to strategic talent planning.

POSITION INFO:
Requirements

• LLB or equivalent law degree.
• Advanced professional qualification in Corporate Governance and Administration (CIS or equivalent).
• NQF Level 8.
• Minimum 7 years’ experience as a Company Secretary, including within a JSE-listed environment.
