POSITION INFO:

Possessing a solid background in the auditing & advisory game, & with offices throughout the country & beyond, this firm has a great opportunity for a Company Statutory & Governance Department Manager to join their setup. Your sound knowledge of the Companies Act along with its regulations, & client centric attitude will allow you to flourish in this performance driven environment

Minimum requirements:

Essential:

  • At least 4 years’ experience in a similar role within a legal / audit / professional services environment
  • Excellent understanding & working knowledge of the Companies Act & associated regulations
  • Completed CGISA (Chartered Governance Institute of Southern Africa) qualification, or be in the process of obtaining it (this is non-negotiable. Need not apply if you have not obtained, or are in the process of obtaining)
  • MS Office (MS Excel will be one your biggest friends

Advantageous:

  • GreatSoft experience or similar CRM

 

Responsibilities (included, but not limited to):

  • Prep, completion & lodgement of all statutory & other relevant returns with CIPC, including annual returns.
  • Maintain suitable & adequate documentation of all work performed.
  • Liaise with CIPC
  • Conversions of CCs into relevant companies
  • Ensure information & changes relating to Companies Act & notices from CIPC are communicated within the specified timeframes
  • Share allotments, share transfers & share buybacks
  • Conversion & alteration including allotments, repurchasing & transfers of shares. Furthermore, updating the share register
  • Amendments
  • Formation & registration of company categories.
  • Submission of amendments to a company’s MOI
  • The maintenance & storage of statutory records.
  • Preparation, completion & lodgements of any amendments relating to directors.
  • Draft resolutions & prepare minutes

Remuneration & benefits:
