SUMMARY:
The Senior Superintendent Corporate Affairs Will be responsible, in ongoing coordination with the Managerial Leader, Corporate Affairs and DRC Corporate Affairs Manager, for:

POSITION INFO:

 

  • Advising the company concerning risk prevention and management, crisis management and compliance with company''s obligations, including on the authorisations of all kinds to be obtained by the company for the performance of its activities;
  • Advising on compliance with the internal and international standards governing the activities (hereinafter referred to as the "Standards");
  • Providing administrative, compliance and reporting support and guidance to the company on its obligations and Standards;
  • Assisting in the preparation and management of inspections by all DRC administrations and authorities; and
  • Providing ad-hoc advice and support to management concerning day-to-day matters affecting the company and involving actual potential risks and assist in the preparation of the required documentation to mitigate identified risks.


Experience and qualification:

  • Minimum 5-year degree in the relevant area of expertise in DRC, France or Belgium, preferably with consistent honors;
  • French language native speaker;
  • Full professional proficiency in English (writing, reading and oral communication); and
  • Full professional proficiency in the use of Word and ideally other components of MS Office.
  • Advanced qualification in the relevant area of expertise in francophone countries;
  • Having worked during at least five (05) years in/on Francophone Africa (ideally in DRC) in an international standard firm, with significant exposure to mining projects and ideally, first in-house experience (ideally in the extractive industry or infrastructure sector); and
  • In-depth knowledge of the mining industry''s international standards (ideally in DRC or other countries in Francophone Africa).
  • Minimum 6-year post-qualification relevant experience of international standard (in addition to training periods) with demonstrated capacity to provide international standard compliance and risk prevention and management advice.
  • In international firms (preferably in France), with significant experience advising on investments, projects, transactions and litigation and crisis management in Francophone Africa concerning natural resources / extractive industries (or energy / project development) with a focus on corporate aspects and project development; and
  • Ideally, first experience in a mining company in the relevant area of expertise (experience in secondment accepted).
  • Experience in oil and gas and energy/infrastructure companies could also be considered.


Responsibilities:
In ongoing coordination with the Managerial Leader, Corporate Affairs and DRC Corporate Affairs Manager and with the assistance of the relevant external and internal advisors and assistants in the relevant area of expertise, the Senior Superintendent, Corporate Affairs will guide the managers to prevent and mitigate risks, in particular in:

  • Ensuring the effective implementation of strategies in the relevant areas of expertise;
  • Identifying potential reputational risks in particular with regard to the relevant standards;
  • Analysing and advising on risk prevention and management, crisis management, authorisations of all kinds and generally, compliance with the obligations applicable and the Standard;
  • Ensuring proactively that the relevant managers are able to make informed decisions with regard to potentially associated risks and contribute to the mitigation of risks, where appropriate;
  • Providing assistance for timely reporting pursuant to the obligations applicable, including weekly updates on strategic matters and ensuring that all registers and documentations required are maintained in a timely manner
  • Assisting with the preparation, management and follow up of inspections from all DRC administrations and authorities ;
  • Advising on corporate governance, managing company secretariat and preparing the relevant draft documents (including preparation of draft agendas, taking minutes, conveying decisions, ensuring that actions decided are implemented in a timely manner with adequate documentation and data management, etc.) ;
  • Supporting HR Department with regard to the respect of the obligations and associated risk prevention and mitigation and preparation and management of trainings, where appropriate ;
  • Assisting in the preparation of draft documents and reports aimed at local stakeholders ;
  • Assisting in the drafting of contracts or template documents, when appropriate;
  • Monitoring grievance mechanisms and contributing to the management and monitoring of potential or actual disputes in coordination with the relevant external and internal advisors and assistants;
  • Elaborating and implementing action plans to meet the objectives and priorities and protect the interests of its shareholders and timely implementation of corrective actions when needed;
  • Ensuring ongoing and timely management of all documentation in the relevant areas of expertise;
  • Assisting the company before all DRC authorities and administrations, where appropriate, in coordination with Government Relations and in agreement with the management;
  • Keep abreast of international developments within or outside the company as well as evolving best practices in compliance control and risk management;
  • Designing of controls, performance of internal audits and timely implementation of corrective measures; and
  • Progressively training the DRC workers under his/her supervision on his/her responsibilities.
