SUMMARY:
A company at the top of their game with its core focus on facilitating loan funding, seeks their next Group Governance & Compliance Officer / Group Company Secretary to join their ever growing team immediately in the Northern Suburbs

POSITION INFO:

This role will see you working closely alongside the CEO & will be a group wide role. will have an in depth understanding of the groups strategic focus & direction. This is not an opportunity to be missed

 

Minimum requirements:

Essential:

  • Either certified CGISA, CSSA, CA or LLB Degree is essential (LLB would be preferred & advantageous)
  • Minimum of 5 years’ experience within a governance or compliance role, specifically in a banking environment
  • FSCA Compliance experience
  • Experience working with the NCA, POPIA, FICA, & FACTA
  • Experience in governance & compliance monitoring.
  • Solid track record in developing & implementing strong risk mitigation solutions
  • Knowledge of specific & general legislation relating to the residential property market (Sectional Titles, Home Owner’s Association, Bodies Corporates, Estate Agency Board & the property market) general would be an advantage
  • A strong focus on ongoing implementation, evaluating and monitoring of governance and compliance frameworks and policies across the group of companies

Advantageous:

  • s12 experience with regard to tax regulations

 

Responsibilities:

  • Establish and implement a sound compliance and corporate governance framework.  A strong focus on ongoing implementation, evaluating and monitoring of governance and compliance frameworks and policies across the group of companies.
  • Support Board members and Senior Management by establishing and providing compliance management controls, systems and processes in line with the group’s compliance mandate.
  • Ensure that all business practices, processes, and activities are consistent with appropriate regulatory and statutory obligations.
  • Maintain a high level of knowledge on legislation applicable to the industries within the groups sectors.
  • Provide strategic support to senior leadership on the implementation of relevant compliance framework and the impact to the business.
  • Develop, document, update and maintain group-wide compliance and regulatory protocols and policies.
  • Develop and provide group-wide compliance and regulatory training.
  • Provide guidance to the board on its statutory duties, responsibilities and powers.
  • Maintain awareness of any laws and regulations relevant to the group.
  • Report to the board / senior leadership on any failures within the group relating to compliance with any Act, regulation or the Memorandum of Incorporation where relevant.
  • Develop and implement remedial action related to any compliance failures within the group.
  • Create and distribute meeting agenda’s, board packs and meeting minutes.
  • Contribute to the annual financial statements by certifying that all the necessary notices and returns have been filed in compliance with the Act and that they are true, correct and up to date.
  • Conduct internal audits and reviews at regular intervals to ensure that compliance procedures are followed.
  • Suggest / advise group leadership on the need for and implementation of compliance programs, policies or procedures.
  • Ensure alignment and achievement of the compliance strategy and create a competitive advantage by contributing to the group strategy into customised business and divisional governance and compliance strategies.
  • Meet the internal and external stakeholder requirements by delivering compliance risk solutions.
  • Develop and maintain key regulatory relationships, like the NCA Regulatory etc.
  • Support a seamless integration of compliance management by encouraging and facilitating cooperation within the various group companies and divisions.
  • Regular monitoring, provide feedback and suggested solutions to implement any current practices, processes and changes in laws and regulations.
  • Manage or mitigate risk by ensuring adherence to all governance and compliance requirements and directives from the various regulatory bodies, the group of companies, their respective Boards and Senior Management.
  • Coordinate governance and compliance functions by ensuring all risks are identified, measured and managed. 
  • Support regulatory project deliverables and align with business imperatives and objectives by providing compliance advise and implementing strategic, tactical and operational compliance plans.

  • Ability to work remotely, with access to transport & cellular phone where & when required.
  • Ability to provide expert legal guidance to internal & external stakeholders

 

Remuneration & benefits:

  • R 600 000 CTC – R 660 000 CTC
