JOB SUMMARY:
A global company within the fuel, oil and gas industry is seeking a Group Legal officer to support the group management team in the day-to-day corporate legal and compliance work. Service the legal, corporate, commercial, intellectual property (IPR), litigation and other legal requirements of the group, whilst complying with legal strategy.

JOB DESCRIPTION:

Duties and responsibilities:
Operational legal advice:
  • Identify the risk profile of the Group’s operations with regards to exposure in, inter alia commercial agreements and offers solutions
  • Research and report on unique legal issues impacting the business.
  • Keep abreast of legislative changes that may affect the business.
  • Explain legal language.
  • Supply Group executives with legal advice in the course of business.
Contract and agreement management:
  • Draft and vet of a wide range of corporate or commercial agreements and appendices and manage the active agreements of the group.
  • Oversee all contractual obligations pertaining to the business including renewals.
Compliance and reporting:
  • Prepare and submit legal reports indicating activities performed and manage targets against these.
  • Prepare monthly management reports on the activities of the team, in addition to litigation reports and regulatory reports.
  • Work collaboratively with various departments to ensure compliance.
  • Document and maintain legal files through a acceptable system (Legal library).
  • Manage and oversee groups POPI act responsibilities.
  • Manage all reporting requirements to:
    • Department of Energy.
    • Competition commission (Cocom).
    • Other legislative reporting requirement that my arise.
Projects & Other:
  • Assists the Group Legal team in the management and implementation of projects led by the Legal team.
  • Manage and setup system to oversee and manage all Trademarks.
  • Assist in coordinating all legal requirements with regards to M&A activities.
  • Manage the relationship and interaction with all outside legal advisors used by the group.
Company Secretarial work:
  • Manage all CIPC reporting requirements
  • Coordinate company statutory work with appointed consultants
  • Responsible for all the company secretarial work relating to all meetings, (Agenda, minutes).
  • Coordinate and assist in preparing relevant board and committee meetings documentation and arrangement.
  • Ensure than board's policies and instructions are communicated to the relevant persons in the company and that pertinent issues from management are referred back to the board where appropriate.
