Head of Legal

SUMMARY:
You will be required to proactively manage the company’s legal environment by developing and driving the implementation of a legal strategy and framework.

POSITION INFO:

Manage, oversee, regulate and minimise the risk and impact of applicable laws, rules and standards on the business activities of the Group. Render a comprehensive legal advisory service with an emphasis on contract drafting, negotiating and vetting of commercial contracts, governance, regulation and compliance. Responsible for the updating and management of the Company''''s legal documentation.

Qualifications, Skills & Experience:        

• Law degree (BA Law/LLB/BCom law)
• Admitted as an Attorney or Advocate in South Africa
• Approx. 10 years post articles experience, working in corporate commercial and/or REIT environment and/or property law environment, from a law firm or legal department
• Exposure to and experience in the Property Industry and Listed environment advantageous
• Experience in vetting and drafting commercial agreements a prerequisite
• Knowledge of structured lending transactions
• Knowledge of JSE listed requirements and experience in the sector
• Retail Lease experience
• Property law experience
• Commercial litigation
• Experience in the financial sector

Key Result Areas

• Engage with stakeholders to analyse legal and compliance requirements and provide stakeholders with concise, accurate, timely legal advice and legally sound solutions to business problems
• Identify opportunities to develop new processes and practices to strengthen the quality and consistency of legal and compliance opinions
• Proactively monitor the implementation of legal framework, templates and policies.
• Compliance and risk management
• Formulate budget and ensure implementation and adherence thereto
• Ensuring appropriate leadership and direction of the Legal Services Department
• Oversee and attend to litigious matters
• Assisting in the negotiation of the various specialised contracts
• Reviewing, drafting and amending agreements for the Group
• Review, comment and drafting of lease agreements
• Draft inter-company agreements within the Group
• Draft agreements for the procurement of goods and services for the Group
• Review and comment on insurance policies
• Advising and assisting on corporate actions
• Knowledge of legislation that impacts the REIT and property industry
• Keep abreast of trends, legislation, legal developments and best practices within the legal and compliance discipline to optimize service delivery and offering
• General management of legal risks and exposure to the Group and accordingly making the decisions required from a legal perspective
• Evaluate and research legislation that impacts on the Group''''s relationship with its clients inter alia POPIA, PFMA, CPA, FMA and Companies Act
• Attend legal due diligence audits
