Mergers and Acquisitions Attorney

SUMMARY:
My client is seeking an M&A Attorney with 1 - 3 years experience in mergers and acquisitions and or corporate law.

POSITION INFO:

• 1 – 3 years’ experience in M&A and/or corporate law
• Equipped to handle high pressure environment
• Experience in mergers and acquisitions, commercial law, including corporate compliance, corporate structures and negotiating and drafting commercial agreements, who wants to branch out into tax law.

Duties / Requirements:

• 1 – 3 years’ experience in M&A and/or corporate law
• Contract drafting and analysing terms of agreements.
• Drafting technical opinions.
• Sound judgment and outstanding analytical and contractual skills.
• Excellent communication skills, initiative and confidence. 
• Ability to provide practical legal advice and risk assessment
• Ability to work to tight and/or conflicting deadlines
• Invoicing clients and tracking billables.
• Miscellaneous assistance to Line Manager/Partner

Attending to client specific matters which include, but are not limited to the following:

• Drafting legal opinions;
• Representing client in SARS dispute resolution – objections, appeals etc.;
• Applying for Rulings;
• Corresponding with SARS on a regular basis;
• Preparing and submitting Voluntary Disclosure Applications;
• Research on various aspects of tax law;
• Proposing tax efficient corporate structures;
• Trust tax advisory;
• Expatriate tax advisory;
• Drafting contracts with tax principles in mind;
• General tax advice;
• Assisting group employees with legal/tax law research; and
• Reviewing opinions and articles drafted by internal staff/attorneys.
