Job Description
Our client, a leading boutique law firm, located in Sandton, Johannesburg, has an exciting opportunity for a seasoned admitted attorney to join our Corporate and Commercial team. What we are looking for: A forward-thinking, talented, and well-experienced Director/Partner whose experience will primarily augment our Corporate and Commercial team and will also apply their knowledge and experience across a variety of legal disciplines within the firm.
The successful candidate must be able to demonstrate experience in and independently facilitate
matters relating to:
• Mergers and acquisitions
• Corporate governance
• Drafting Legal Due diligence reports and conducting Legal Due diligence investigations
• Deal and transaction structuring and/or restructuring
• BEE transactions
• Consortiums and joint ventures
• Takeovers filings
• Contract negotiation
• Reviewing, vetting, and drafting transaction documents such as (Subscription Agreements
Shareholders’ Agreements, Shareholder Loan Agreement, Memorandum of Incorporation)
• Drafting complex legal agreements
• Corporate finance – Reviewing, vetting, and drafting Finance Documents (such as, Senior and
Mezzanine and Security Documents)
• High level tax law
• High level competition law and drafting merger notifications and liaising with the competition authorities
and deal with the full spectrum of competition law
• Advising JSE listed companies
• Conducting training, regulatory work and workshops
• Writing articles and publications
Qualifications
The ideal candidate must meet these minimum qualifications and experience requirements: LLB degree. Master’s degree in Banking and Finance and/or Corporate Law would be an advantage. Minimum 8 to 10 years post admission experience most of which must have been spent in a commercial law firm.
Skills
The candidate also needs to demonstrate: • An ability to work independently and unsupervised • Management abilities • Maintain a disciplined administration of the practice • Supervise and train the junior attorneys and candidate attorneys • Extreme attention to detail • Ability to work with numbers and formulas • Ability to understand various legal and financial instruments Good reputation in the industry relating to: - – Ethics – Diligence – Skill
