CEO RESPONSIBILITIES
s Provide leadership in the development of the organisation’s statement of vision, mission, and goals, and the corresponding strategies, plans and budgets to achieve them.
s Ensure the development of priority plans, performance measurements, management controls, and critical success factors.
s Review approved plans and budgets as part of the annual planning and budgeting cycle and present recommendations to the Board of Directors and / or the appropriate committee in time.
s Develop and provide appropriate policy recommendations for consideration by the Board.
s Implement and audit policies.
s Ensure that an annual plan and budget are prepared for and presented to the Board of Directors on time.
s Propose agendas for the Board of Directors reflecting issues, opportunities, and priorities.
s Present a written report to all board meetings on time.
s Develop and maintain an effective staff organization which provides appropriate policy and program recommendations for consideration by the board and its committees, and which delivers services, programs and information beneficial to the members.
s Hire, reward, discipline, terminate, and set the remuneration of, all organisation’s employees except for him, in accordance with policy and/or approved budgets with support of HR.
s Identify, document, and articulate the needs of member to geographic sub-units, committees, and other forums, which exist, to the serve member needs.
s Promote collaboration within and among the organisation’s geographic sub-units to address the needs of members and the mission and goals of the organisation.
s Maintain the necessary contacts to keep abreast of emerging issues of significance to the organisation’s management profession.
s Act as the spokesperson for the organisation.
s Serve as ambassador for the organisation to relevant organizations in South Africa.
s Perform such other duties as prescribed in writing from time to time by the Board of Directors.
s Refer any decision that has a cost or revenue impact up to a certain threshold to the Board of Directors.
Power and Authority:
s The CEO shall be in charge of all day-to-day matters of the company and shall take such actions within the powers hereby granted as may be required to cause the company to carry on its business, including compliance by the company with its obligation under the Implementation Agreement and other project agreements.
s Provide leadership to the staff and to the senior Executive Team in particular.
s Assure compliance with Health & Safety requirements and good practice.
s Implement and assure compliance with the Environmental and Social Action Plan (see Schedule 7 of Shareholder Agreement) in time.
s Ensure adequate and timely reporting to the Board of Directors of relevant and pertinent matters.
s Appoint any employee of the company, remove any employee for just cause, and determine any employee’s remuneration from time to time.
s Represent the company for governmental or other regulatory purposes and delegate such right of representation to the employee of the company under power of Attorney or other form of Authorization.
s Contributing to the development of annual goals and objectives; Ensuring that organisation’s procedures and overall management are designed in accordance with established Board Policy and keeping the Board informed of existing or impending Board Policy issues.
s Any other responsibilities related to the nature of the post.
Health & Safety / Crisis Management:
s Assure implementation and compliance with the HSE Management System
s Assure implementation of HSE Policy
s Appoint the Assistant to the EMO as per Section 16(2)
s Appoint the H&S Representative as per Section 17
s Appoint the H&S Committee Appointee as per Section 19(3)
s Follow-up on incidents, accidents and related reporting and root cause analysis.
s Implement Crisis Preparedness and Response Procedure (Rev 1.-----)
s Implement Crisis Management Procedure (Rev 1.-----)
s In an event of crisis the CEO shall establish and manage the crisis management team and follow Crisis Communication Procedure (Rev 1.-----)
Quality:
s Ensure the production of products meets customer specifications
s Ensure attainment of consistent highest quality output
HR & Public Relationship:
s Represent the company in front of all Government agencies and entities
Maintain relationships with key customers and suppliers
s Create and maintain an organizational environment that promotes positive staff moral and performance.
s Direct, motivate and maintain a competent, well-trained, flexible and responsive staff capable of meeting current and future needs.
s Arranging and maintaining all permit and license required from the government, Government entities and all related agencies.
s Develop and maintain an annual Board approved plan for the development and succession of management.
s Establish and maintain relationships with direct customers and end users.
s Establish and maintain relationships with the shareholders and stakeholders.
s Monitor and ensure compliance with all Government rules and regulations.
s Establish and maintain relationships with the relevant segment of the local community leadership, industry and business community
s Maintain a fully staffed organization by preparing staff recruitment plan and implementing the plan after board approval.
s Supervising the Admin and HR activities.
Financial:
s Monitor and control the company budget as per the financial model.
s Monitor the performance of the finance departments.
s Monitor the maintenance of the insurance programme.
s Monitor the provision of the regular report to our Financial partners (Lenders) in compliance with the covenants under the credit facility Agreement.
s Monitor the fulfilment of statutory obligations.
s Monitor the compliance of all requirements of the Lenders.
s Establish and maintain relationships with our financial partners including the Lenders, their retained advisors and the Insurance broker and the insurers.
Operations & Maintenance:
s Monitor the operational performance of the organization’s manufacturing operations.
s Set, monitor and maintain overall equipment efficiency (OEE’s).
s Ensure the upkeep and maintenance of plant equipment and vehicles.
