JOB SUMMARY:

JOB DESCRIPTION:

Trust and corporate work for Mauritian and BVI Trusts and Companies:
- Meeting with clients and preparing the necessary memos on such meetings;
- Assisting administration team with day to day client queries timeously;
- Drafting the necessary documentation to give effect to specific trust transactions, including deed of donation, deeds of appointment, trustee resolutions, etc
- Drafting the necessary documentation to give effect to specific transactions, including loan agreements, deeds of sale, sale of shares agreements, shareholder agreements, company resolutions, etc
- Review of legal documentation prepared by clients and external counsel;

Corporate secretarial work (internal and external), which includes:
- Assisting administration team with the preparation for board meetings, including arranging suitable times and dates, preparing agendas and board packs;
- Attending board and committee meetings and taking minutes;
- Drafting minutes and circulating these to the relevant chairpersons timeously;
- Assistance with the preparation of the company’s annual financial statements and annual report, as required;
- Assistance with the payment of company dividends, including liaising with management and transfer secretaries and the drafting of relevant resolutions and certificates;
- Assistance as necessary with specific company transactions and corporate actions as relevant, including liaising with corporate advisors, legal advisors, transfer secretaries, stock exchanges and listing sponsors, as necessary.

General legal support to the Company, including:
- Assisting with ad hoc legal drafting outside of the items referred to above;
- Assisting with the review of transactions and the transaction documentation for the Group companies;
- Assisting on ad hoc company projects;
- Assisting with general administrative activities, including keeping accurate timesheets;
- Giving every assistance to colleagues in the administration team (corporate and trusts) based in Mauritius
