Project Finance Associate

SUMMARY:
Introduction:
A prestigious global law firms is seeking an Associate with a focus on Project Development, Corporate and Project Finance across Africa, with particular emphasis on southern Africa. The successful candidate will gain exposure to ranges from advising on the development and financing of renewable energy and thermal power projects and various other infrastructure assets in the transportation and telecommunications sectors.

POSITION INFO:
Duties and Responsibilities:

• Advising on financing independent power producer projects under the government’s Renewable Energy Independent Power Producer Procurement Programme.
• Advising on regulatory and transactional project development related matters in South Africa and other sub-Saharan African countries and acting for both South African and international large-scale corporates, commercial lending institutions, investment institutions, project developers and organs of state.
• Help clients navigate their most complex business problems, deals, and disputes.
• Regularly representing lenders, borrowers, project sponsors and equity investors on a wide range of finance matters including project finance, bilateral and syndicated lending, development finance, and general corporate and restructuring work.
• Drafting, reviewing, and negotiating Contracts, Operation and Maintenance Agreements and any other various types of agreements.
• Drafting and negotiating agreements in relation to acquisitions, joint ventures, trade agreements, licensing, and outsourcing, conducting due diligence investigations related to corporate transactions.
• Working with Local and International Banks, Development Finance Institutions, Sponsors, Shareholders, Owners, and EPC Contractors on large projects.
• Due Diligences investigations and risk analysis.
• Advising on a variety of energy, infrastructure and oil and gas related projects, focusing on: corporate and commercial aspects; conducting due diligence investigations; the drafting and negotiation of key project documents such as concession agreements, power purchase agreements, public-private partnership agreements and energy distribution and supply agreements; policy and regulatory considerations including the drafting of opinion memorandums on key regulatory considerations; and project development related activities.

• Admitted attorney.
• 4 to 6 years post qualification experience in drafting, vetting, and negotiating of contracts in the corporate infrastructure development sector.
• Excellent drafting and communication skills.
• Excellent attention to detail.
• Good time management.
• Able to receive instructions from senior instructing attorney and carry out instructions independently and effectively.
• A collaborative attitude to working within large teams (internally and externally.)
