POSITION INFO:
An opportunity exists for an experienced Senior Governance Specialist to join a fast-paced alternative asset management environment, providing specialist governance, company secretarial and transaction support across the Group. This is a senior, hands-on role for a technically strong and commercially minded professional who can work independently, manage complex matters and provide sound governance advice in a transaction-driven environment. What You'll Do Lead the governance and administration of assigned Boards and Committees, including Social & Ethics, Credit and Asset Management Committees Prepare agendas, meeting packs, resolutions and accurate, decision-focused minutes, ensuring governance requirements and delegated authorities are met Manage governance processes supporting credit, investment and transaction approvals from submission through to completion Review transaction and approval documentation, coordinate sign-offs and ensure the appropriate authorities are in place Manage company secretarial and statutory matters across companies, funds, trusts and special-purpose vehicles Draft Board, Committee and shareholder resolutions, minutes and other corporate governance documentation Provide practical advice on corporate governance, company law, fiduciary duties, conflicts of interest and decision-making authority Provide guidance on B-BBEE, ownership structures and transaction considerations Work closely with Legal, Compliance, Finance, Investment and other stakeholders across local and offshore environments Identify governance and execution risks and ensure matters are followed through to completion What You'll Bring An admitted Attorney with a corporate, commercial, financial-services or transactional background, or CA(SA) with substantial governance and company secretarial experience At least 7 years' relevant post-qualification experience Proven experience within financial services, ideally alternative asset management, investment management, private credit, private equity or property finance Experience supporting credit, investment or transaction approval processes Strong knowledge of the Companies Act, corporate governance, fiduciary duties, delegated authority and statutory compliance Practical knowledge of B-BBEE legislation and ownership structures Experience with funds, trusts, SPVs, offshore structures or regulated financial-services entities would be advantageous CGISA or an equivalent governance\/company secretarial qualification would be advantageous Skills and Competencies Strong technical expertise and commercial judgement Excellent drafting, analytical and attention-to-detail skills The ability to manage multiple Boards, Committees, transactions and deadlines effectively A proactive, independent and solutions-focused approach The confidence to engage with Directors, Executives, Investment Professionals, Legal Advisers and external stakeholders The ability to identify and communicate risks clearly and provide practical solutions Strong ownership and follow-through, with the ability to deliver accurate, high-quality work under pressure
