Reporting to: Group Legal Counsel The Role The Company Secretary will be responsible for leading and managing the Group’s company secretarial and corporate governance function. The role will ensure effective governance practices, statutory and regulatory compliance, professional Board and Committee support, and the implementation and ongoing management of governance frameworks across the Group. The successful candidate will act as a trusted governance advisor to the Board of Directors, Board Committees, Executive Management, Shareholders and the Managing Directors of subsidiary companies, while also engaging with regulators and external governance and professional service providers. This is a key governance role requiring the ability to operate confidently and professionally at Board and Executive level while ensuring consistency, accuracy and compliance across multiple entities. Key Areas of Responsibility Company Secretarial Services Corporate Governance Board and Committee Administration Statutory Compliance and Regulatory Filings Governance Framework Implementation and Monitoring Subsidiary Governance Oversight Key Responsibilities Board and Committee Governance Act as a primary governance advisor to the Board and its Committees on corporate governance matters and best practice. Coordinate and administer Board and Committee meetings. Prepare and distribute Board packs, agendas, governance reports and meeting documentation. Draft accurate and comprehensive meeting minutes and resolutions. Maintain annual Board and Committee calendars. Ensure compliance with approved governance frameworks, delegations and Committee charters. Support Board and Committee Chairpersons in the effective execution of their responsibilities. Ensure Directors receive relevant, accurate and timely information to support decision-making. Statutory and Regulatory Compliance Ensure compliance with applicable legislation, including the Companies Act and recognised corporate governance codes, including King IV. Maintain statutory records, registers and governance documentation across the Group. Oversee and ensure the timely completion of statutory filings and regulatory submissions. Coordinate compliance requirements across subsidiary entities. Maintain records relating to Directors, Shareholders and Group corporate structures. Monitor governance and legislative developments and advise on their impact on governance practices and compliance obligations. Group Governance Framework Implement, maintain and continuously enhance the Group’s governance framework. Develop, standardise and monitor company secretarial processes, templates and governance practices across Group entities. Promote consistency in governance standards and practices throughout the Group. Monitor governance compliance and report on governance-related matters to relevant stakeholders. Support the review and implementation of governance policies, frameworks and procedures. Governance Advisory and Board Support Provide governance guidance to Directors, Executives and subsidiary management teams. Assist Directors in understanding their fiduciary duties and governance obligations. Support the management of conflicts of interest declarations and governance compliance processes. Facilitate Board and Committee evaluations and governance assessments. Coordinate Director onboarding, induction and ongoing governance development programmes. Support effective communication between the Board, Executive Management and Shareholders on governance-related matters. Corporate Transactions and Entity Management Provide governance and company secretarial support relating to: Mergers and acquisitions. Corporate restructuring initiatives. New entity registrations and governance establishment. Changes to Group corporate structures. The role will also: Coordinate governance approvals, resolutions and statutory requirements relating to corporate actions and transactions. Ensure governance and compliance requirements are appropriately incorporated into corporate transactions and projects. Stakeholder Engagement Build and maintain effective working relationships with: Board Members. Executive Leadership. Shareholders. Subsidiary Management Teams. Regulators. External Governance and Professional Service Providers. The Company Secretary will also act as a key liaison between the Board, Executive Management and Shareholders on governance-related matters. Minimum Requirements Qualifications and Experience LLB, BCom Law, Governance qualification or an equivalent relevant qualification. Minimum 3–5 years’ experience in a Company Secretarial, Corporate Governance or related role. Proven experience supporting Boards of Directors and Board Committees. Experience working within a Group or multi-entity environment. Strong knowledge of corporate governance frameworks and regulatory requirements. Demonstrated knowledge of the Companies Act, King IV and corporate governance best practices. Advantageous Chartered Governance Professional (CGP\/CIS) or equivalent professional qualification. Technical Knowledge and Skills The successful candidate should have: Working knowledge of company law and corporate secretarial practice. Strong understanding of corporate governance principles and frameworks. Strong understanding of statutory compliance requirements. Experience managing governance processes across multiple legal entities. Experience maintaining statutory records and managing corporate filings. The Ideal Candidate The ideal candidate will be an experienced company secretarial or corporate governance professional who is comfortable operating within a Group or multi-entity environment and engaging directly with senior Executives, Directors and Board Committees. They will combine strong technical knowledge of company law, the Companies Act, King IV, statutory compliance and corporate governance with the professionalism, discretion and attention to detail required in a senior governance role. The successful candidate will be organised, proactive and solutions-focused, with the ability to manage multiple governance priorities and deadlines while building trusted relationships across the organisation. Package Total Cost to Company: R800,000 – R1,200,000 per annum Annual Leave: 20 days Short-Term Incentive: 25% STI participation The organisation would ideally like to conclude an offer by 1 October 2026 , with the successful candidate commencing in January or February 2027 .
