Group Legal Advisor & Company Secretary

SUMMARY:
We have partnered with an established international group, headquartered in South Africa, to appoint a Group Legal Advisor. This role presents an excellent opportunity for a commercially astute admitted attorney with at least five years' corporate legal experience and a strong track record in commercial and contract law. Equally important is the ability to operate as a trusted advisor to the business, balancing legal risk with commercial realities in a fast paced and evolving environment.

As the Group's principal legal resource, the successful incumbent will provide pragmatic guidance on a wide range of legal and commercial matters, oversee company secretarial responsibilities, and support the Board and executive team in maintaining robust governance standards. Partnering closely with the Group CFO, the role will also play a pivotal part in advancing the Group's risk and compliance objectives, ensuring the business remains well positioned to meet its regulatory and strategic obligations across multiple jurisdictions.

POSITION INFO:
Duties and Responsibilities: The Group Legal Advisor will partner with the Group CEO and Group CFO: Inhouse legal counsel. Provide legal leadership across the Group's operations and strategic initiatives. Provide company secretarial oversight to the Group, supporting the Board and its committees through effective governance administration, statutory compliance, maintenance of corporate records, and the facilitation of sound corporate decision making. Anticipate, evaluate, and manage legal, regulatory, and reputational risks. Drive governance standards and support sound corporate decision making. Structure and support complex commercial arrangements and business transactions. Oversee dispute management, litigation strategy, and settlement negotiations. Direct intellectual property protection and trademark management activities. Provide specialist advice on insurance, liability, and risk matters. Provide legal oversight on strategic initiatives, acquisitions, partnerships, new market entries, and cross-border business activities. Ensure ongoing compliance with legal and regulatory obligations across all jurisdictions in which the Group operates. Including lease management. Manage relationships with regulators, external counsel, and other legal service providers. Support business growth by delivering pragmatic legal solutions aligned to commercial objectives.
