An established organisation in Pretoria is seeking a highly accomplished Company Secretary to play a strategic role in supporting the Board and Executive team while driving best-in-class corporate governance practices.

POSITION INFO:
Minimum Requirements LLB Degree. Admitted Attorney of the High Court of South Africa. Minimum 10 years' experience in a Company Secretarial, Governance, or Corporate Legal role. Extensive knowledge of the Companies Act , King IV Corporate Governance Principles , and B-BBEE legislation . Proven experience advising Boards and Executive Committees. Exceptional stakeholder management, communication, and influencing skills. Key Responsibilities Serve as the trusted governance advisor to the Board and Executive Leadership. Ensure compliance with the Companies Act, King IV principles, and all applicable governance requirements. Manage all Board, Committee, and Shareholder meetings, including agendas, board packs, minutes, and resolutions. Oversee statutory filings and maintain company records. Drive corporate governance frameworks, policies, and compliance initiatives. Provide strategic guidance on governance risks and regulatory developments. Lead and monitor B-BBEE governance and compliance initiatives. Ensure effective implementation of governance policies across the organisation. Build strong relationships with regulators, directors, executives, and key stakeholders.
