Compliance Officer / Company Secretary

SUMMARY:
Managing statutory compliance across more than 60 companies takes more than knowing which forms to submit. With different shareholders, ownership structures, transactions and deadlines in play, this role needs a Compliance Officer / Company Secretary who can see the bigger picture while still getting the smallest detail right.

POSITION INFO:
Take ownership of company secretarial, governance and statutory matters across a diverse investment group. You'll work closely with directors, shareholders, attorneys, auditors, banks and regulatory bodies, while keeping complex corporate matters moving from instruction to final completion. This is a senior, hands-on position for someone who understands company structures, asks good questions and has the confidence to challenge information when something doesn't add up. Duties \/ Key Responsibilities Manage company secretarial, statutory and governance requirements across approximately 60 group companies. Maintain accurate company records, statutory registers and ownership information. Prepare board and shareholder resolutions, minutes and supporting corporate documents. Manage director, shareholder, shareholding and company structure changes. Handle CIPC submissions, amendments, queries, rejections and follow-ups. Review shareholding structures, percentages and supporting transaction documentation. Coordinate FICA, compliance and corporate information requests. Support corporate transactions, agreements, restructures and ownership changes from a statutory perspective. Liaise confidently with directors, shareholders, attorneys, auditors, banks and regulatory bodies. Monitor statutory deadlines and ensure outstanding matters are actively followed through. Review documents and instructions critically and flag inconsistencies, risks or missing information. Research legislative, regulatory or procedural requirements where necessary. Maintain strong controls over confidential and sensitive corporate information. Take ownership of matters from instruction through to final implementation and record keeping. Requirements Minimum 3 years' specialised experience in company secretarial, corporate governance, statutory compliance or closely related work. Strong practical knowledge of CIPC processes and corporate statutory requirements. Experience working with company structures, shareholders, directors and share registers. Good understanding of ownership percentages and corporate transactions. Strong knowledge of formal corporate documentation and record keeping. Excellent attention to detail and accuracy. Strong logical and analytical ability. Able to interpret documents and understand how different corporate actions fit together. Strong written English and professional communication skills. Afrikaans would be advantageous. Comfortable dealing directly with directors, shareholders and professional advisers. Able to work independently and make sound judgement calls. Confident enough to challenge information or instructions when something appears incorrect. Strong organisational ability across multiple entities, deadlines and open matters. High level of discretion and confidentiality. Education A relevant qualification in law, commerce, governance, company secretarial practice, compliance or business administration would be advantageous. Relevant specialised experience and strong technical ability will also be considered. Soft Skills You need to be meticulous without becoming rigid, confident without becoming reckless, and persistent enough to keep difficult matters moving.
